Introduction

Welcome to the Terms and Conditions of Humex Apparel. These terms govern access to and use of the Humex Apparel website (humexapparel.com) and the information, communications, and services made available through it.

The website provides information about apparel manufacturing, sportswear, uniforms, custom clothing, and related products or services. Visitors, prospective customers, and business customers should read these terms carefully before using the website or submitting an enquiry.

These website terms are separate from the specific commercial terms that may apply to a confirmed manufacturing order. Where a signed agreement, accepted quotation, purchase order, or written order confirmation contains specific commercial terms, those terms will be interpreted together with these website terms. In the event of any conflict, the applicable order documentation should be reviewed, and the parties should seek clarification before proceeding, subject to applicable law.

We encourage you to learn more about our manufacturing capabilities and review our contact page if you have any questions about these terms.

About Humex Apparel Humex Apparel is a top quality Custom Apparel manufacturer and Supplier including Streetwear, Sports Wear Clothing, gym apparel, and Sports Uniforms in Pakistan. We specialize in custom t-shirt manufacturing, hoodie manufacturing, sweatshirt manufacturing, and sweatpant manufacturing. Our entire production operations are operated by highly qualified and trained staff, and we are a 100% export oriented unit maintaining quality tools to International standards and specifications.

Acceptance of These Terms

By accessing or using the Humex Apparel website, you agree to use it only in accordance with these terms and applicable laws. If you do not agree with any part of these terms, please discontinue use of the website.

Certain website actions, such as submitting an enquiry or requesting a quotation, do not automatically create a manufacturing contract. A manufacturing contract should be considered formed only when the relevant offer, acceptance, and any required written order confirmation or agreement establish that a binding order exists under applicable law.

Merely browsing the website does not create an obligation to purchase any products or services. Where legally appropriate, customers will be given a clear opportunity to review the applicable terms before confirming a commercial order.

Eligibility and Business Use

Humex Apparel provides apparel manufacturing information and services for legitimate business and personal enquiries, subject to the company's actual service offering. Where an individual places an order on behalf of a company or organization, that individual should have authority to act for that organization.

Customers must provide accurate information relevant to their enquiries and orders. Customers must not misrepresent their identity, authority, business information, or rights to submitted artwork.

Website Content and Product Information

The website may contain descriptions, photographs, product examples, fabric information, apparel styles, customization options, and manufacturing-related information. Please note the following important points:

  • Product photographs may illustrate examples rather than the exact final production item.
  • Colors can appear different depending on screens, lighting, photography, and fabric characteristics.
  • Fabric composition, weight, sizing, construction, decoration methods, and other specifications should be confirmed in writing for each order.
  • Availability of materials, colors, and customization methods may vary.
  • Illustrative images do not automatically form part of a binding product specification.
  • Any product-specific commitment must be confirmed through the applicable quotation or order documentation.

Product Enquiries and Quotations

Prospective customers can request a quotation by email, telephone, WhatsApp, or the website's available contact forms. To prepare an accurate quotation, we may ask you to provide:

  • Product type
  • Estimated order quantity
  • Size range
  • Fabric requirements
  • Color preferences
  • Printing or embroidery requirements
  • Logo files and design references
  • Packaging requirements
  • Destination country and delivery address
  • Requested delivery date
  • Any special manufacturing instructions

Quotation prices may depend on the product specifications, order quantity, fabric, customization, packaging, shipping destination, and other agreed requirements.

Important Quotation Conditions

  1. A quotation is subject to the validity period stated in that quotation.
  2. If no validity period is specified, please contact us to confirm the applicable period in writing.
  3. Quotations should clearly identify the currency and relevant taxes, charges, and shipping arrangements where known.
  4. Estimates and informal discussions do not automatically guarantee a final price or production schedule.
  5. Any changes to the requirements may result in a revised quotation.
  6. A quotation does not constitute an accepted order unless the relevant acceptance conditions are satisfied.
Important Note Please do not treat any informal estimate, chat message, or verbal discussion as a guaranteed final price. All pricing and production commitments must be confirmed in writing through the applicable quotation or order documentation.

Samples, Prototypes, and Product Approval

Samples or prototypes may be offered where agreed between Humex Apparel and the customer. Please note the following conditions:

  • Sample availability and charges must be confirmed before work begins.
  • Sample production and delivery timelines should be stated in the relevant written agreement where possible.
  • The customer should review the sample for the agreed design, fabric, color, construction, sizing, decoration, and other relevant specifications.
  • Any errors or requested changes should be communicated clearly before approval.
  • Sample approval should be documented in writing, including email or another mutually accepted communication method.
  • Approval confirms acceptance of the sample against the agreed specifications, subject to the terms of the order agreement.
  • If a customer requests changes after approval, the changes may require additional time or charges, as agreed.
  • A sample may not reproduce every production variation exactly where unavoidable material or manufacturing tolerances have been disclosed and agreed.

Custom Apparel Orders

Custom-manufactured products may be made according to the specifications supplied or approved by the customer. Before an order is accepted, the parties should confirm the relevant details in writing.

A. Product Specifications

  • Product type and style
  • Fabric type and composition, where specified
  • Color references
  • Size chart and tolerances
  • Stitching and construction details
  • Printing, embroidery, and decoration
  • Labels, tags, and branding
  • Packaging and presentation
  • Quantity and permitted production tolerances
  • Inspection and quality requirements

B. Order Confirmation

The order should be confirmed through a written quotation acceptance, purchase order, order confirmation, signed agreement, or another documented process agreed by the parties. The order documentation should identify the agreed product specifications, quantity, price, payment terms, production schedule, delivery terms, and other material conditions.

C. Changes to Orders

Changes requested after confirmation may affect cost, materials, production schedules, or delivery dates. Changes should be agreed in writing before implementation.

D. Material Availability

The availability of particular fabrics, trims, colors, or other materials should be confirmed for the specific order. If a required material becomes unavailable, the company should notify the customer and agree on an appropriate alternative or other solution before making a material change.

Minimum Order Quantities

Minimum order quantities may vary by product type, customization method, fabric, color, and manufacturing requirements. The applicable minimum quantity should be stated in the relevant quotation or order confirmation.

Where an order contains several designs, sizes, or colors, the applicable quantity rules should be agreed in writing.

Prices, Taxes, and Additional Charges

The final price depends on the specifications and commercial terms confirmed for each order. The following should be addressed in the relevant order documentation:

  • Currency
  • Applicable taxes
  • Packaging charges
  • Shipping and freight charges
  • Customs duties and import taxes
  • Sample and development charges
  • Artwork preparation charges, if applicable
  • Additional costs arising from customer-requested changes
  • Any other agreed production or service fees

The relevant quotation or order documentation should clearly explain which charges are included and which are payable separately. Any price changes after an order is accepted must be handled in accordance with the agreed order terms and applicable law.

Payment Terms

Payment requirements must be stated in the accepted quotation, invoice, or order confirmation. Where applicable, the documentation should specify:

  • Deposit or advance payment
  • Any milestone payments
  • Balance payment deadline
  • Accepted payment methods
  • Currency
  • Bank or transaction charges
  • Payment confirmation requirements
  • Consequences of late or failed payment
  • Conditions for releasing finished goods or arranging dispatch

Production or shipment may be paused when an agreed payment obligation is not met, subject to the order agreement and applicable law. Any late payment charges must be expressly agreed and legally permitted.

Production Schedules and Delays

Production schedules should be confirmed for each order. The expected timeline may depend on:

  • Sample development and approval
  • Fabric and accessory availability
  • Order quantity
  • Artwork approval
  • Customization complexity
  • Payment completion
  • Production capacity
  • Quality inspection
  • Shipping arrangements

Any stated delivery or production date should be interpreted according to the terms expressly agreed in the relevant order documentation. If a significant delay occurs, the parties should communicate and discuss available options in accordance with the agreement and applicable law.

Customer Responsibilities

Customers are responsible for the following:

  • Providing accurate product requirements
  • Reviewing quotations and order confirmations
  • Checking size charts and approved specifications
  • Confirming artwork, logos, colors, and designs
  • Providing timely sample feedback
  • Obtaining any necessary rights to submitted materials
  • Making payments according to the agreed schedule
  • Providing correct delivery and contact details
  • Reviewing applicable import requirements
  • Communicating important changes in writing

Customer delays, incomplete instructions, or late approvals may affect the production schedule where this is reasonably connected to the order.

Intellectual Property and Ownership

A. Website Intellectual Property

Website text, photographs, graphics, logos, original design elements, and other materials may be protected by applicable intellectual property laws. Visitors may not reproduce, distribute, modify, or commercially exploit protected materials without appropriate permission, except where applicable law permits.

B. Customer-Supplied Intellectual Property

Customers retain their existing rights in logos, artwork, trademarks, brand names, and designs they own or are authorized to use. Submitting artwork to Humex Apparel does not automatically transfer ownership of that artwork to the manufacturer.

C. Permission to Manufacture

Customers authorize Humex Apparel to use the materials they supply only as reasonably necessary for the agreed quotation, sampling, manufacturing, quality control, and fulfilment activities, subject to the applicable agreement.

D. Customer Warranties

Customers should confirm that they have the necessary rights or permissions to submit and authorize the agreed use of their materials. Humex Apparel does not independently verify ownership of every submitted logo or design.

E. Portfolio and Marketing Use

Customer logos, private-label designs, confidential products, and identifiable customer projects will not be displayed publicly or used in marketing without appropriate authorization, unless another valid legal basis applies.

F. Ownership of New Designs

Ownership of newly developed designs, patterns, artwork, technical files, or other deliverables should be expressly agreed in writing. Humex Apparel does not automatically claim ownership of every design created during a customer project.

Confidential Information

Customers may share confidential information such as product concepts, artwork, technical drawings, specifications, business plans, pricing information, and private-label branding.

Confidential information should be handled according to the applicable agreement and used only for authorized business purposes. Information may need to be shared with relevant personnel or service providers who require access to fulfil the order, subject to appropriate safeguards and contractual arrangements.

Information already lawfully public, independently developed, or lawfully received from another source may be treated differently, subject to the applicable agreement and law. This website clause is not a substitute for a separate non-disclosure agreement when a customer requires stronger confidentiality commitments.

Quality Standards and Inspection

Product quality requirements should be documented in the accepted quotation, sample approval, technical specification, or manufacturing agreement. Relevant requirements may include:

  • Fabric composition and weight
  • Measurements and sizing tolerances
  • Color and decoration
  • Stitching and construction
  • Labels and packaging
  • Quantity and agreed manufacturing tolerances
  • Inspection procedures
  • Documentation and testing requirements, where agreed

Customers should inspect goods according to the agreed process and report visible defects or discrepancies within any valid contractual or legal deadline. A customer's approval of a sample does not automatically remove responsibility for a later manufacturing defect that materially differs from the agreed specifications, where applicable law or the contract provides otherwise.

Shipping and Delivery

Shipping arrangements must be confirmed in the applicable quotation or order documentation. The agreed terms should identify, where relevant:

  • Delivery destination
  • Dispatch and estimated arrival dates
  • Shipping method
  • Freight charges
  • Insurance arrangements
  • Export documentation
  • Import documentation
  • Customs duties and taxes
  • Responsibility for customs clearance
  • The agreed delivery term or Incoterms rule, including the named place and version, if used

Where Incoterms are used, ensure the correct rule, named location, and version are stated in the relevant order documentation. Estimated delivery dates may be affected by customs procedures, carrier delays, and other factors, subject to the agreed contract and applicable law.

Order Cancellation, Returns, and Refunds

Cancellation, returns, rework, replacement, and refunds depend on the accepted order terms and applicable law. Please refer to our separate Cancellation, Return and Refund Policy once it has been published for full details.

A. Cancellation Before Production

The customer should submit a cancellation request in writing. Any refund or deduction should be assessed according to the agreed payment terms, work already performed, committed material costs, and applicable law.

B. Cancellation After Production Begins

Custom orders may involve materials, labor, printing, embroidery, and other costs that cannot always be recovered. Any cancellation charges or refund restrictions must be disclosed, agreed where required, and legally valid.

C. Defective or Incorrect Products

Customers should notify Humex Apparel if delivered products materially differ from the agreed specifications or contain defects. The notification should include supporting evidence, photographs where useful, order details, and a reasonable opportunity to investigate.

D. Resolution

Depending on the circumstances, the agreement, and applicable law, possible solutions may include correction, rework, replacement, partial refund, or another agreed remedy.

E. Custom Products

Personalized or custom-made goods may be subject to different return rules from standard products. However, custom products are not exempt from all remedies for defects, misrepresentation, or other legally protected rights.

Acceptable Website Use

Visitors must not:

  • Use the website for unlawful purposes
  • Submit fraudulent enquiries or misleading information
  • Attempt unauthorized access to website systems
  • Upload malicious software or harmful files
  • Interfere with website security or functionality
  • Copy protected website content for unauthorized commercial use
  • Use the website to violate third-party rights
  • Send spam or abusive communications through available contact channels

Humex Apparel may take reasonable and lawful measures to protect the website and investigate misuse.

Third-Party Websites and Services

The website may link to third-party platforms, shipping services, communication tools, or external resources. External websites operate under their own terms and privacy practices.

Humex Apparel does not automatically control third-party content, availability, security, or policies. Visitors should review the terms and privacy policies of external services before using them.

Warranties and Mandatory Legal Rights

The website is provided for business information and communication purposes. Any express product warranties, manufacturing commitments, performance standards, or quality guarantees must be stated in the applicable written agreement.

Nothing in these terms should be interpreted as excluding rights or remedies that cannot legally be excluded. Any limitation or exclusion must be restricted to what applicable law permits.

Limitation of Liability

To the extent permitted by applicable law, Humex Apparel is not responsible for losses arising solely from matters outside its reasonable control, unauthorized third-party interference, or a visitor's misuse of the website.

Website-use issues and claims arising from a confirmed manufacturing contract may be treated differently. Any limitation for indirect, incidental, or consequential losses must be carefully drafted, legally reviewed, and applied only where lawful.

Humex Apparel is not liable for defective products, negligence, fraud, intentional wrongdoing, or any other liability that cannot lawfully be excluded. Mandatory customer rights and remedies under applicable law are preserved.

Events Beyond Reasonable Control

Events outside a party's reasonable control may affect manufacturing or delivery. Examples may include:

  • Natural disasters
  • Floods or severe weather
  • War or civil unrest
  • Government restrictions
  • Port closures
  • Major transport disruptions
  • Widespread utility failures
  • Epidemics or other serious public emergencies
  • Unexpected interruptions in critical material supplies

The affected party should notify the other party within a reasonable time where practical and take reasonable steps to reduce the impact. This clause does not automatically excuse every delay or payment obligation. The actual consequences must depend on the agreed contract and applicable law.

Suspension and Termination

Humex Apparel may take reasonable steps to suspend website access or decline unlawful or fraudulent activity where justified. Cancellation or termination of a confirmed manufacturing order must follow the applicable contract and law.

Outstanding payments, completed work, committed materials, confidential information, intellectual property, and obligations intended to continue after termination should be addressed in the applicable order documentation.

Governing Law and Dispute Resolution

Humex Apparel is based in Pakistan. However, the governing law and dispute-resolution process must be confirmed with legal advice and stated in the applicable order documentation or signed agreement.

Important Legal Notice State the governing law and dispute-resolution process only after legal review. Ensure that the clause is appropriate for Humex Apparel's business location, customer markets, and applicable mandatory laws. Do not assume that Pakistan law and courts exclusively govern every transaction.

The parties should consider whether negotiation or mediation should be used before litigation and what process should be used for sending formal legal notices. Any mandatory consumer or business protections that may apply to international customers must be respected.

Changes to These Terms

Humex Apparel may update these website terms when its services, website functionality, or legal requirements change. The latest version will be published on this page with an accurate revision date.

Updated website terms do not automatically amend an already accepted manufacturing contract unless the contract or applicable law permits that result. Additional notice or agreement will be provided or obtained where required by law or the relevant contract.

Severability and Waiver

If a particular provision is found invalid or unenforceable, the remaining provisions should continue to the extent permitted by applicable law. Failure to enforce a provision immediately does not necessarily mean the party permanently waives its rights. Both provisions are subject to the relevant governing law.

Entire Agreement and Order Documents

The website terms apply to website use, while specific manufacturing orders may be governed by their own accepted quotations, order confirmations, specifications, and signed agreements.

Customers should review all relevant documents before confirming an order. Any conflicting terms should be resolved only after the business establishes an appropriate contractual hierarchy with legal advice.
